Shareholders representing more than 60 percent of the voting power in Skanska propose that the Annual Shareholders’ Meeting on May 5, 1997 re-elect Melker Schörling, Bo Rydin, Per-Olof Eriksson, Sven Hagströmer and Carl-Olof Ternryd as members of the Board of Directors.

MELKER SCHÖRLING PROPOSED AS NEW CHAIRMAN OF SKANSKA

Shareholders representing more than 60 percent of the voting power in Skanska propose that the Annual Shareholders’ Meeting on May 5, 1997 re-elect Melker Schörling, Bo Rydin, Per-Olof Eriksson, Sven Hagströmer and Carl-Olof Ternryd as members of the Board of Directors.

The current Chairman, Percy Barnevik, as well as Sven-Eric Hersvall and Gudrun Norberg have declined re-election to the Board.

In addition, the election of the following new Board members is proposed: Claes Björk, the new President and Group Chief Executive of Skanska; Gustaf Douglas (Latour); Christer Gardell (Custos) and Sören Gyll (Volvo).

At its first meeting on May 5, 1997 following the election of its members, the Board of Directors intends to appoint Melker Schörling as its new Chairman.
