Repurchase of shares for Skanska's Share Award Program


As previously announced, the Board of Directors of Skanska decided on a new share issue on December 8, 2005, of 4,500,000 Series D shares and a repurchase offer covering all the Series D shares to ensure the delivery of Series B shares to employees in accordance with Skanska's Share Award Program.

Subsequently, Nordinvest AB, a wholly-owned subsidiary of Industrivärden (publ), subscribed for the 4,500,000 Series D shares. Today, Skanska has reached an agreement for the repurchase of all of the outstanding Series D shares from Nordinvest AB at a price of SEK 3.002 per share, totaling SEK 13,509,000.

The purpose of the repurchase is to convert Series D shares as needed to Series B shares to ensure the delivery of shares in accordance with the Share Award Program and to cover the administrative costs, social security contributions and comparable taxes that may arise through the program.

Following the repurchase, Skanska holds 4,500,000 of its own Series D shares.
